These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "You," or "Your") and AppKit Studio Private Limited ("We," "Us," or "Our"), the company operating the Mitro Club brand and platform. These Terms govern your access to and use of the Mitro Club mobile application ("App"), website, and all related services (collectively, the "Services").

By accessing, downloading, installing, or using the Services, you represent and warrant that:

• You have read, understood, and agree to be bound by these Terms
• You have the legal capacity and authority to enter into this agreement
• You will comply with all applicable laws and regulations
• All information you provide is accurate and complete

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. Continued use of the Services constitutes acceptance of these Terms and any subsequent modifications.

Mitro Club provides a conversational therapy platform designed to connect users with trained companions for emotional support and wellness conversations ("Services"). Our platform offers:

Platform Role: Mitro Club disclaims liability for:

• The quality, accuracy, or suitability of conversations with companions
• Actions, advice, or conduct of companions or other users
• Any outcomes or results from using the Services
• Interactions occurring outside the platform
• Exchange of personal information during platform interactions

Eligibility Requirements:

By agreeing to these Terms and using the Services, you confirm and warrant that:

• Legal Capacity: You possess the legal capacity and authority to understand and enter into these Terms
• Compliance: You will comply with all applicable laws, regulations, and rules in your jurisdiction
• Good Standing: You have not been previously terminated or suspended from Mitro Club for violating these Terms

Account Creation & Management:

To access the Services, you must register and create an account. You are responsible for:

• Providing accurate and complete information during registration
• Maintaining the confidentiality of your login credentials
• All activities conducted under your account, authorized or unauthorized
• Immediately notifying us of any unauthorized access or security breaches
• Keeping your account information current and up-to-date

Your account is personal and may not be shared, transferred, or sold. Mitro Club is not responsible for losses due to unauthorized account use if you fail to secure it properly.

Mitro Club is committed to protecting your privacy and personal data. We implement industry-standard security measures and comply with applicable data protection laws, including the Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

• Treat companions and other users with dignity, respect, and kindness
• Use the Services in good faith for their intended purpose
• Honor boundaries and guidelines established by companions
• Maintain appropriate and professional conduct at all times
• Report any inappropriate behavior or safety concerns immediately
• Follow all rules and guidelines provided by Mitro Club

Prohibited Activities:

The following activities are strictly prohibited:

Personal Safety Precautions:

• Protect Personal Information: Never share sensitive details such as your full name, home address, phone number, financial information, or workplace
• Verify Information: We do not guarantee the accuracy of information provided by other users. Use caution and discretion
• Trust Your Instincts: If something feels uncomfortable or unsafe, discontinue the conversation and report it
• Use Platform Features: Utilize built-in safety features, blocking, and reporting tools
• Keep Conversations On-Platform: Avoid taking conversations to external channels

Emergency Situations:

Assumption of Risk:

You acknowledge and accept that:

• Engaging with users carries inherent risks
• Any reliance on information shared by others is at your own risk
• Services are provided "as is" and "as available" without guarantees
• Mitro Club is not responsible for user conduct or content
• Decisions and actions based on platform interactions are your sole responsibility

No Medical or Professional Service Warranty:

Mitro Club companions are NOT licensed medical professionals, therapists, psychologists, psychiatrists, counselors, or healthcare providers. We specifically disclaim any warranty that:

• Services constitute medical advice, diagnosis, or treatment
• Companions can provide professional medical or psychiatric care
• Services are suitable for treating medical or psychiatric conditions
• Any particular results will be achieved from using Services

Technology Disclaimers:

We do not warrant or guarantee that:

• The Services will meet your specific requirements or expectations
• Services will be available at any particular time or location
• Services will function without interruptions, delays, or defects
• Errors or bugs will be corrected
• Services are free from viruses, malware, or harmful components
• Data transmission will be secure or encrypted in all circumstances
• Information provided through Services is accurate or reliable

User Responsibility:

You acknowledge and agree that:

• Use of Services is entirely at your own discretion and risk
• You are solely responsible for any damage to your devices or data
• You are responsible for maintaining appropriate backups
• You should exercise independent judgment regarding information received

Your Right to Terminate:

You may terminate your account at any time by:

• Using the account deletion feature within the App
• Contacting our support team at appkitapps@gmail.com
• Following the instructions in your account settings

Note: Account deletion is permanent and irreversible. You will lose access to all data, conversations, and purchased services.

Our Right to Terminate or Suspend:

Mitro Club reserves the right to suspend or terminate your access to the Services immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• We are required to do so by law or legal authority
• You engage in fraudulent, abusive, or illegal activities
• Your account shows signs of unauthorized access or security compromise
• Your conduct poses a risk to other users or the platform
• Your account has been inactive for an extended period
• We discontinue or materially modify the Services
• We reasonably determine that continued service is not viable

Suspension Circumstances:

We may temporarily suspend your access if:

• There is a threat or attack on our servers or network
• We are investigating potential violations
• Your actions disrupt Services for other users
• Third-party service providers suspend required services
• Provision of Services is prohibited by law
• Force Majeure events occur (see General Provisions)

Effect of Termination:

Applicable Law:

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You specifically consent to the application of Indian law and agree that no other jurisdiction's laws shall apply.

Jurisdiction and Venue:

Any disputes, claims, or controversies arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ghaziabad, India. You hereby irrevocably consent to the jurisdiction and venue of such courts and waive any objection to jurisdiction or venue.

Dispute Resolution:

Arbitration Clause:

If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be:

• Conducted in English and/or Hindi
• Seated in Ghaziabad, India
• Conducted by a sole arbitrator mutually agreed upon by both parties
• Final and binding on both parties
• Subject to limited grounds for appeal under applicable law

Class Action Waiver:

To the extent permitted by law, you agree that disputes will be resolved on an individual basis only. You waive any right to pursue claims on a class action, consolidated, or representative basis.
